Terms of Service

These Terms of Service (“Terms”) govern your use of SEOgent, operated by DGrigg Development Inc (“we”, “us”, “our”). By creating an account or using the Service, you agree to these Terms.
1. Accounts
- You must be at least 16 years old to use the Service.
- You must give accurate and complete information when you create your account.
- You are responsible for keeping your password and agent access tokens secure.
- You are responsible for all activity under your account, including actions taken by agents using your tokens.
2. The Service
SEOgent analyzes the websites you add for search engine and answer engine issues, reads the search and analytics data you connect, and produces reports, a ranked fix list, weekly briefings and content drafts. It also provides an MCP server that coding agents can use to read and complete that work.
3. Billing
- Paid plans are billed in advance through our payment processor.
- Plans are month to month with no contract. You can cancel anytime, and cancellation takes effect at the end of the current paid period.
- If you request a refund within 30 days of your first payment, we will refund that payment in full and end your subscription. Other fees are non-refundable except where required by law.
- We will give you reasonable notice before changing prices.
4. Acceptable use
You agree not to:
- Add websites you do not own or are not authorized to manage.
- Attempt to get around rate limits or abuse the infrastructure that fetches pages.
- Use the Service for any illegal purpose or in breach of any applicable law.
- Reverse engineer, decompile or try to extract the source code of the Service.
- Interfere with or disrupt the Service or its infrastructure.
- Resell, redistribute or sublicense access to the Service without our written consent.
5. Your content and changes to your site
- You keep all rights to your websites and content. We claim no ownership of them.
- Reports, fix plans and drafts are yours to use as you see fit.
- You decide which suggestions to apply. You are responsible for reviewing changes made to your site, including changes made by an AI agent using the Service.
- The Service itself, including its design, code and branding, belongs to DGrigg Development Inc.
6. Data and privacy
Your use of the Service is also governed by our Privacy Policy.
7. Disclaimers
- The Service is provided “as is” and “as available”, without warranties of any kind, express or implied.
- Recommendations and drafts are generated with automated analysis and AI, and should be reviewed before you use them. We do not guarantee any ranking, traffic or AI-citation outcome.
- We do not warrant that the Service will be uninterrupted, error-free or completely secure.
8. Limitation of liability
To the maximum extent permitted by law, DGrigg Development Inc is not liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data or business opportunities, arising from your use of or inability to use the Service.
Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid us in the 12 months before the claim.
9. Termination
- You may delete your account at any time. Your data will then be removed as described in our Privacy Policy.
- We may suspend or end your account if you breach these Terms or harm the Service or other users.
10. Changes to these Terms
We may update these Terms from time to time. We will post material changes on this page and update the date above. Continuing to use the Service after a change means you accept the revised Terms.
11. Governing law
These Terms are governed by the laws of Canada. Any disputes will be resolved in the courts of Canada.
